#ApproveSU—Participant Content Release Terms and Conditions
By responding to our request to use your submitted photo(s) or video(s) with the hashtag #ApproveSU, you grant StudentUniverse.com, Inc. and its affiliates, subsidiaries and parent corporation and their respective employees, agents, licensees and assigns collectively, worldwide ("StudentUniverse") an unlimited, perpetual, non-exclusive, irrevocable, worldwide, royalty-free, non-transferable and fully sub-licensable license to use, modify, delete from, add to, publicly display and reproduce the photo or video and to use your name, image, nickname, initial, symbols, likeness, photograph, video, voice statements, biographical material and any and all attributes of your personality and appearance (collectively user “Identity”) in materials created in connection with your Identity (collectively “Content”), alone or with other materials, with or without your name, in any and all manner and media now known or hereafter devised in any of StudentUniverse’s social media platforms, pages, blogs or websites including without limitation Facebook, Twitter, Instagram, LinkedIn, Pinterest, etc. You represent and warrant that the content is original and you own the content (avatar, text, profile, images and videos) and there are no other entities with ownership claims over it. StudentUniverse is not obligated to use any photo(s) or video(s) submitted.
If you submit a photo or video which includes any individuals other than yourself, you warrant and represent that such individuals have given their consent to the photo or video being provided to StudentUniverse for the above purpose. You agree to indemnify StudentUniverse from any third party claims that may arise regarding a breach of this clause.
You must be 18 years of age or older to have the legal right to enter into this agreement.
You agree to forever release and hold harmless StudentUniverse from and against any and all liability, claims, demands, losses, petitions or causes of action that your or anyone may make while acting on your behalf or on the behalf of your estate arising or in connection with the Content or the Identity, including without limitation, any claims of defamation, invasion or privacy, violation of privacy or publicity, claims in the nature of copyright infringement, or any claim of video or audio alteration.
Privacy: You acknowledge and agree that any personal information provided to StudentUniverse will be handled in accordance with StudentUniverse’s privacy policy (available at www.studentuniverse.com). In particular, you consent to StudentUniverse using names, images and other relevant information provided by you for marketing and promotional purposes.
This release will be governed by the laws of the Commonwealth of Massachusetts, without regard to conflicts of law principles. You irrevocably agree that any dispute directly or indirectly arising out of or relating to this release shall be resolved exclusively in the state or federal courts of Massachusetts, and you consent to such venue and to the exclusive jurisdiction of any such court over any such dispute.
